These Terms of Service ("Agreement") constitute a contract between you ("Client") and Simply Answered AI ("SAI"). This Agreement governs your use of SAI's products, services, and your relationship with SAI. Please read carefully. By using or continuing to use SAI's products and/or services, you agree to these terms and conditions.

SAI’s Services

Subject to the terms of this Agreement and the service plan selected by you, SAI agrees to provide live call answering and online chat support services ("Services"). You agree to use these Services solely for lawful, business purposes and abide by any SAI policies regarding the use of the Services, as they may be updated. You agree not to resell, transfer, license, or make the Services available to any third party without prior written consent from SAI. SAI reserves the right to modify the features of the Services and, upon written notice, may change your plan or pricing. All software and systems used to deliver the Services are proprietary to SAI.

Upon signup, you will receive credentials to access the Services. You are responsible for maintaining the confidentiality of your credentials. SAI may offer integrations with other services, which may require separate credentials. You authorize SAI to use these credentials to provide the Services.

SAI requires your permission to handle calls and messages efficiently. You grant SAI the right to patch calls, maintain message records, send notifications, collect and use personal or business information, record interactions, and contact you using provided information. Notify SAI immediately if any contact information should no longer be used for the Services.

Billing and Payment

You agree to pay monthly charges based on your selected plan, plus applicable taxes and fees. Overage charges apply for exceeding allotted minutes at the rate specified in your plan. SAI invoices are due by the listed date. You authorize SAI to send invoices to your primary email and to charge your payment method for monthly charges and overages. Notify SAI of any payment information changes.

Term and Termination

This Agreement is effective for a minimum of 30 days and continues on a month-to-month basis until terminated by either party with written notice. SAI may terminate this Agreement if you violate its terms or policies. Certain provisions, as specified, will survive termination.

Disclaimer of Warranties, Remedies, and Indemnification

SAI provides the Services "as is," without warranty of any kind. SAI's liability is limited to the amount paid by you in the last twelve months. You indemnify SAI against claims arising from your use of the Services or breaches of this Agreement.

Miscellaneous

This Agreement supersedes prior agreements and constitutes the entire agreement regarding its subject matter. SAI is an independent contractor. This Agreement is governed by the laws of Houston, TX. Disputes will be resolved through arbitration in Houston, TX. Amendments to this Agreement must be in writing and signed by SAI. You may not assign this Agreement without SAI's consent.
